1. Acceptance of Terms

By accessing or using VegaMind (thevegamind.com), including the website, dashboard, API, and embeddable chat widget (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

VegaMind is operated by QBS Global ("we", "us", "our"). These Terms constitute a legal agreement between you and QBS Global.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use the Service. By using VegaMind, you represent that you meet this requirement.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Service Description

VegaMind is an AI-powered chat widget platform. We provide:

• An embeddable chat widget that you add to your website via a script tag.
• AI-generated responses trained on your website content.
• A client dashboard for managing bots, viewing conversations, and capturing leads.
• Multiple subscription plans with varying feature sets.

5. Plans & Billing

Free Plan (Spark)

The Spark plan is free with no credit card required. It includes limited chat volume and features as described on our pricing page. We reserve the right to modify the free tier's limits at any time with reasonable notice.

Paid Plans

• Paid plans (Orbit, Nova) are billed monthly or annually as selected at checkout.
• Payment is due at the start of each billing period.
• All prices are in USD. VAT or other taxes may apply based on your jurisdiction.
• You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods.

6. Acceptable Use

You agree not to use VegaMind to:

• Violate any applicable law or regulation.
• Transmit harmful, abusive, defamatory, or illegal content through your chatbot.
• Impersonate another person or entity.
• Attempt to gain unauthorized access to other tenants' data or our infrastructure.
• Use the Service for spam, phishing, or distributing malware.
• Reverse-engineer, decompile, or attempt to extract the source code of our proprietary software.
• Overload the Service through automated scripts or abuse of API endpoints beyond your plan's limits.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Your Content

• Ownership: You retain ownership of all content you provide to VegaMind, including website content used for bot training, bot configurations, and conversation data.
• License: By using the Service, you grant us a limited license to process your content solely to provide the Service (e.g., scraping your website URL to generate bot responses).
• Responsibility: You are solely responsible for ensuring your website content and bot responses comply with applicable laws. We are not liable for AI-generated responses that may be inaccurate.

8. AI-Generated Content

VegaMind uses artificial intelligence to generate chat responses. You acknowledge that:

• AI responses may occasionally be inaccurate, incomplete, or inappropriate.
• You are responsible for monitoring your bot's conversations and correcting issues.
• We do not guarantee the accuracy of any AI-generated response.
• AI responses should not be relied upon as professional, legal, medical, or financial advice.

9. Data & Privacy

Your use of VegaMind is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

10. Intellectual Property

• The VegaMind name, logo, website design, widget code, and all associated intellectual property are owned by QBS Global.
• You may not use our trademarks, logos, or branding without prior written consent.
• The "Powered by VegaMind" badge on free-tier widgets may not be removed or obscured.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with reasonable advance notice.
• Experience downtime due to factors beyond our control (infrastructure providers, network issues).
• Modify, suspend, or discontinue features with reasonable notice.

12. Limitation of Liability

To the maximum extent permitted by law:

• VegaMind is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for lost leads, missed conversations, or business losses resulting from Service downtime or AI inaccuracies.

13. Termination

• You may terminate your account at any time from your dashboard or by emailing us.
• We may terminate your account for violation of these Terms, with or without notice.
• Upon termination, your data will be deleted within 30 days, except where retention is required by law.
• Sections 7, 10, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through the courts of Dubai, UAE.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
